Article II Purpose
The goal of the organization shall be to encourage, foster, support, promote and to provide education in horticulture in Dunn County while maintaining affiliation with the State of Wisconsin Master Gardener Association. The educational purposes should be consistent with Section 501C(3) of the Internal Revenue Code.
Article III Membership
Section 1. All persons who are members of WIMGA affiliated local associations or qualify for the membership categories listed below may become members of the Association upon receipt of their annual dues.
Section 2. Membership in the Association shall consist of the following categories:
A. Voting Members of WIMGA
1. Certified Master Gardener Volunteers – those persons certified by Extension who have met annual continuing education, service, and any other requirements set by Extension for maintenance of certification as a Master Gardener Volunteer (MGV).
2. Intern Master Gardener Volunteers – those persons who are in the process of completing Extension requirements for certification as an MGV.
3. Honored Master Gardener Volunteers – those persons certified by Extension 2 who have accrued one thousand (1000) volunteer hours or ten (10) years of service, have demonstrated significant contributions to the MGV program, and have been approved by Extension for this permanent status.
4. Exempt Master Gardener Volunteers – those persons who have been Certified MGVs who have been unable to complete minimum service and continuing education hours and who have requested exempt status from Extension.
Article IV Officers Duties and Elections
President shall provide leadership for the organization and preside at regular monthly meetings. The president shall develop an agenda for such meetings.
Vice President shall perform the duties of the president in the president’s absence and provide the program for the monthly association meetings.
Secretary shall record and keep minutes of all proceedings, and electronically distribute the minutes from the previous meetings. Include and keep a record of all documents and correspondence belonging to the organization.
Treasurer shall be the custodian of the funds of the association and maintain a bank account for the association. The treasurer shall pay bills as directed by the membership, collect membership dues, provide receipts, keep a balanced account of all collections and disbursements, report at each regular meeting and present a yearly written report at the January meeting. An internal financial review (in lieu of a formal audit) will be conducted between year-end and January meeting. Financial review will also include inventory of association assets. Financial review to be conducted by two at large members (no signers on checking account) in addition to Treasurer.
Election of Officers Terms of all officers are for two years, with the Secretary and Vice President being elected in even years. Nominations for officers will take place at the August meeting with elections being held at the Annual meeting in September. Terms of all officers will begin at the October meeting following elections. Outgoing officers will retire in November following a one month overlap for orientation purposes. Officers shall be active or intern Master Gardener Volunteers. Nominations will be taken from the floor prior to elections.
Article V Meetings
Regular meetings will be held at a date, time and location agreed on by the majority of the membership. The Annual Meeting will be held in September of each year. At that time, dues and volunteer hours will be collected. The association year runs from January through December.
Article VI Dues
Dues and the date dues need to be paid shall be established by the membership at the annual meeting in September.
Article VII Budget
Budget process shall be started with the use of request forms by members and committees. Any request forms need to be submitted by the August meeting to Budget committee. Budget committee will consist of all other committee chairs and Treasurer (Treasurer to be ad hoc). Budget will be assembled and presented for membership approval at September annual meeting.
Article(VII) Dispersal of Funds Article VIII
In the event that the group disbands, the dispersal of funds will be determined by the voting members at that time.
Article (VIII) Parliamentary Authority Article IX
Rules contained in the current edition of Robert Rules of Order, Newly Revised Edition shall be followed at all association meetings. The association may also implement special rules as noted in the by-laws.
Article VIII Amendments Article X
These By-Laws may be altered, amended or repealed and new By-Laws may be adopted by a two-thirds majority of the membership present at any association meeting. At least 30 days written notice is given to all members of the association of intention to alter, amend, repeal or to adopt new By-Laws at (such a) said annual meeting.
